1. Definitions
"Client": the individual or legal entity (business) that subscribes to Axel's services.
"Smart Voice Mail": the automated conversational agent (artificial intelligence) provided by Axel, which answers the Client's incoming phone calls, qualifies inquiries, relays information, and/or books appointments according to the agreed configuration.
"Services": the full set of services offered by Axel, including, without limitation, the integration of the Smart Voice Mail, the management and modification of the Google Business Profile listing, the creation or upgrade of CRM systems, the creation or redesign of a website, the automation of internal processes via n8n modules, the management of advertising campaigns on social media (Facebook, Instagram, LinkedIn), and brand-building activities.
"Billing Cycle": the recurring monthly period for which the Client is billed.
2. Purpose and Description of the Service Process
Axel provides the Client with a suite of automation services designed to improve the Client's ability to answer calls, convert prospects, and automate certain internal processes. The standard onboarding process typically includes, in the following usual order — without this order being contractually guaranteed, and subject to variation depending on the Client's needs:
- Discovery call: an initial conversation to understand the Client's operations, needs, and objectives.
- Authorization and access to the Google Business Profile listing: the Client authorizes Axel to create, modify, administer, or optimize its Google Business Profile listing (including, without limitation, business hours, categories, descriptions, photos, and review responses).
- Integration of the Smart Voice Mail: configuration and deployment of the conversational agent to answer the Client's calls.
- Adjustment of business hours: by default, the Smart Voice Mail is configured to answer calls, unless otherwise agreed in writing with the Client.
- Creation or upgrade of the Client's CRM system, including migration of existing data where applicable.
- Creation or redesign of the Client's website.
- Implementation of internal automation systems via the n8n platform or any other tool deemed appropriate by Axel.
- Advertising and acquisition campaigns on Facebook, Instagram, and LinkedIn, as well as brand-building initiatives.
The Client acknowledges that the exact scope, order, and implementation timeline of these elements may vary depending on the plan subscribed to, the complexity of the Client's business, and the Client's cooperation throughout the process.
3. Authorizations Granted to Axel
By subscribing to the Services, the Client expressly grants Axel the following authorizations, necessary for the proper performance of the Services:
- Administrator access and the right to modify the Client's Google Business Profile listing;
- The right to configure call forwarding from the Client's existing phone line to the Smart Voice Mail;
- Access to the systems, accounts, and platforms necessary (CRM, web hosting, social media advertising accounts) to the extent required to deliver the agreed Services;
- The right to communicate, on the Client's behalf and strictly within the scope of the Services, with the Client's customers or prospects via the Smart Voice Mail.
The Client agrees to provide the necessary access, information, and approvals in a timely manner. Any delay caused by the Client in providing such access may delay the deployment of the Services, and Axel shall not be held liable in this regard.
4. Term, Billing, and Termination
4.1 Recurring Billing
The Services are billed monthly, on a recurring basis, at the rate agreed upon at the time of subscription. Certain services or modules may be billed as a retainer, payable in advance for the upcoming month, as indicated at the time of subscription.
4.2 Trial Period
If a free trial period is offered, its duration will be indicated at the time of subscription. The first automatic payment will occur at the end of this period, unless the Client cancels before it expires.
4.3 Cancellation
The Client may cancel their subscription at any time, provided the cancellation request is made at least three (3) days before the end of the current billing cycle. A cancellation submitted after this deadline will take effect at the next billing cycle, and the Client remains responsible for payment of the cycle already underway. No partial refunds are offered for a period already billed, unless otherwise agreed in writing.
4.4 Effects of Termination
Upon termination, Axel will cease providing the Services and may disable the Client's access to the Smart Voice Mail and associated systems. The Client remains the owner of its own business data (see Section 6). Axel reserves the right to remove, disable, or reclaim any proprietary system, configuration, or automation implemented as part of the Services.
5. Confidentiality and Protection of Personal Information
5.1 Confidentiality Commitment
Axel agrees to treat any information provided by the Client in connection with the delivery of the Services (including operational and business information, and data belonging to the Client's own customers) as confidential, and not to disclose it to unauthorized third parties, except as required by law.
5.2 Personal Information
Axel agrees to handle any personal information of third parties (the Client's customers or prospects) collected by the Smart Voice Mail in accordance with applicable personal information protection laws, including Quebec's Act Respecting the Protection of Personal Information in the Private Sector and, where applicable, Law 25. This information is used solely for the purpose of delivering the agreed Services (answering calls, booking appointments, sending summaries to the Client) and is not sold to third parties.
5.3 Payment Information
No credit card or payment information is stored, accessed, or retained by Axel. All payment processing is handled through a certified PCI-DSS third-party payment provider (Stripe). Axel only has access to limited billing information (amount, payment status, date), not the Client's full card data.
6. Intellectual Property and Data Ownership
6.1 Axel's Ownership
Any configuration, script, automation workflow (including n8n modules), conversation model, call-routing logic, methodology, template, or proprietary system developed or deployed by Axel in connection with the Services remains the exclusive property of Axel, whether or not it was custom-built for the Client. The Client is granted a right to use these systems only for the duration of their active subscription — this right of use ends upon termination of the Agreement.
6.2 Client's Ownership
The Client remains the owner of all information related to its business, including its brand, trade name, customer data, content (text, images, logos provided by the Client), and the history of its communications with its own customers. Axel claims no ownership rights over these elements.
6.3 Portability
Upon termination, the Client may request a reasonable export of its own data (e.g., CRM contact list, call history pertaining to it), which will be provided in a standard format within a reasonable timeframe, subject to applicable fees for complex requests.
7. Limitation of Liability
The Client acknowledges and agrees to the following:
7.1 Obligation of Means, Not of Results
Axel agrees to use commercially reasonable efforts to provide quality Services but does not guarantee any specific business outcome (number of calls converted, revenue generated, number of appointments booked, etc.). Results obtained depend on numerous factors outside Axel's control, including the nature of the Client's business, the quality of the Client's own services, its existing reputation, and its willingness to adjust elements of its acquisition structure based on Axel's recommendations.
7.2 Specific Exclusions
To the extent permitted by applicable law, Axel shall not be held liable for the following:
- Missed, unanswered, or misrouted calls handled by the Smart Voice Mail;
- Bugs, misunderstandings, inaccurate responses, or unexpected behavior of the Smart Voice Mail;
- Dissatisfaction of a Client's customer or prospect following a call with the Smart Voice Mail;
- Outages, interruptions, or unavailability of systems, third-party tools, telephone networks, internet networks, or cloud infrastructure used to deliver the Services, including failures related to call forwarding from the Client's existing phone line;
- Non-receipt, delay, or failure to deliver real-time call summaries sent by email, text message, or any other extraction tool, where such non-receipt results from unavailability, malfunction, or misconfiguration of the Client's own tools (email inbox, phone, third-party software);
- Any loss of contract, missed business opportunity, or perceived devaluation of the Client's brand, directly or indirectly associated with the use of the Services;
- Indirect, incidental, special, or consequential damages of any kind arising from the use of the Services.
7.3 Liability Cap
In any case where Axel's liability is nonetheless established despite the foregoing, it shall be limited to the total amount paid by the Client to Axel during the billing cycle immediately preceding the event giving rise to the claim.
7.4 Continuous Improvement
The Client acknowledges that the performance of the Smart Voice Mail and other Services generally improves through iterative adjustments, and agrees to collaborate in good faith with Axel to adjust missing or underperforming elements of its acquisition structure, rather than attributing suboptimal performance solely to the Services provided.
8. Client Obligations
The Client agrees to:
- Provide accurate and up-to-date information about its business;
- Cooperate reasonably and in a timely manner with the onboarding steps described in Section 2;
- Provide the necessary access to required accounts and platforms;
- Take responsibility for maintaining its own tools for receiving call summaries (email, phone, third-party software).
9. Amendments to the Agreement
Axel reserves the right to modify this Agreement at any time. Amendments will be posted on aaaxel.com and/or communicated to the Client by email. Continued use of the Services after an amendment constitutes acceptance of the new terms.
10. Governing Law
This Agreement is governed by the laws of the Province of Quebec and the applicable federal laws of Canada. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the judicial district where Axel has its head office.
11. Acceptance
By checking the "I accept the terms and conditions" box at checkout on our secure payment page, the Client confirms:
- Having read and understood this entire Agreement in full;
- Having the necessary authority to bind their business to this Agreement;
- Agreeing to be billed monthly at the indicated rate, until cancellation in accordance with Section 4.3.
